Proposed Constitutional Amendments


In compliance with ASIL’s Constitution, I write to provide notice that the Society’s Executive Council has approved a Draft Amended Constitution to be submitted to the full membership for consideration and a vote at the Annual Meeting on Thursday, April 23, 2026.

The need for a Constitutional review process was highlighted by the Strategic Planning Committee in its Final Report as presented to the Executive Council on April 16, 2025. The proposed Draft Amended Constitution represents the first comprehensive review since adoption of the current Constitution in 1951. Specifically, the Society undertook this review to resolve internal inconsistencies within ASIL’s governing documents, address certain ambiguities, and align with ASIL’s current practices, DC nonprofit law, and the practices of peer learned societies. ASIL engaged White & Case LLP to assist with this process on a pro bono basis. White & Case dedicated significant resources to the effort, and we are deeply grateful for their good counsel.

The proposed amendments address a range of governance matters, including membership, officer roles and responsibilities, committee structures, and meeting and voting procedures. The Draft Amended Constitution will take effect immediately if approved by two-thirds of the members present and voting at the 2026 Annual Meeting.

The Society encourages members to review these materials and to attend the Annual Meeting to participate in the vote.
